These terms & conditions apply to the coaching, consulting, business, and training services and information provided by Actionability to you as a Client of any services provided by Actionability for which you have paid the applicable fees as well as it applies to the free downloadable resources provided by Actionability.

By using services and / or content of Actionability you are indicating that you have read these terms & conditions and our privacy policy (as applicable) and you understand, and you consent to be bound by, all the terms and conditions of both documents. These terms & conditions set forth your rights and obligations with respect to your use of any service or content of Actionability. If you do not agree to all of the terms contained in these terms & conditions and the privacy policy, you should not use services and / or content of Actionability.

Terms & conditions apply to your use of services provided and content published by Actionability (as each are defined below). 

Coaching services. Actionability will provide coaching services in line with the ICF (International Coaching Federation) core competencies and on the basis of individual agreements. Terms and conditions apply as per the individual coaching agreement.

Consulting and business services. Actionability will provide consulting and / or business services on the basis of individual consulting and / or business service contracts. Terms and conditions apply as per the individual consulting contract.

Training services. Actionability provides virtual and in-person training programs related to business performance management on the basis of individual training contracts. Terms and conditions apply as per the individual training contract.

Enrolment in self-paced training programs. When a course is published on Actionability’s website and a student enrols into a course, Actionability offers a license to the course to its students, whether it is a free or paid course, the license is to view the course via Actionability’s online platform. Courses are licensed to our learners. This license does not give you any right to resell the course in any manner (including by sharing account information with a purchaser or illegally downloading the course and sharing it online).

In legal terms, Actionability grants you (as a student) a limited, non-exclusive, non-transferable license to access and view the courses and associated content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Services, in accordance with these Terms and any conditions or restrictions associated with a particular courses or feature of our services. All other uses are expressly prohibited. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any course unless we give you explicit permission to do so in a written agreement signed by a representative of Actionability.

In general, Actionability gives a 1-year access license to its students when they enrol in a course. However, Actionability reserves the right to revoke any license to access and use courses at any point in time in the event where Actionability decides or is obligated to disable access to a course due to legal or policy reasons, for example. The lifetime access is not applicable to add-on features and services associated with a course. For example, Actionability may decide at any time to no longer provide teaching assistance or Q&A services in association with a course.

User Accounts. Users need to create an account to purchase our services and to access our online training platforms and selected educational content. When setting up and maintaining a user account, users must provide and continue to provide accurate and complete information, including a valid email address. Users have complete responsibility for their account and everything that happens on their account, including for any harm or damage (to us or anyone else) caused by someone using their account without their permission. Users are encouraged to be careful with your password and may not transfer their account or credentials to someone else or use someone else’s account. If a user contacts us to request access to an account, Actionability cannot not grant such access unless the user can prove that he/she is the owner of that account. In the event of the death of a user, the account of that user will be closed.

Payments. User agree to pay the fees for courses that he/she purchases, and authorises Actionability to charge your debit or credit card or process other means of payment (such as Klarna, IDeal, Sofort, etc.) for those fees. Actionability works with a third-party payment processing partner, Stripe to offer its users the most convenient payment methods in the user’s country and to keep the payment information secure. When a user make a purchase, he/she agrees not to use an invalid or unauthorised payment method. If the payment method fails and a user still get access to the course, user agrees to pay back to Actionability the corresponding fees within thirty (30) days of notification from Actionability. Actionability reserves the right to disable access to any course for which they have not received adequate payment.

Refunds. If the course or resource a user purchased is not what they were expecting, they can request within 30 days of the purchase of the course, that Actionability applies a refund to their account. Actionability reserves the right to apply refund as a refund credit or a refund to the original payment method, depending on capabilities of their payment processing partners. No refund is due to a user if requested after the 30-day guarantee time limit has passed. However, if a course a user previously purchased is disabled for legal or policy reasons, user is entitled to a refund beyond this 30-day limit. Actionability also reserves the right to refund students beyond the 30-day limit in cases of suspected or confirmed account fraud.

If Actionability issues refund credits to a user’s account, they will be automatically applied towards their next course or resource purchase from Actionability. Refund credits may expire if not used within the specified period, and have no cash value, in each case unless otherwise required by applicable law.

If Actionability believes that a user is abusing its refund policy, such as if a user have consumed a significant portion of a course that he/she wishes to refund or if a user has previously refunded a course, Actionability reserves the right to deny a refund, ban a user account, and/or restrict all future use of the services. If these terms are violated and therefore a user’s account is banned, the user will not be eligible to receive a refund.

Coupon codes. Actionability or their partners may offer gift and promotional codes to students. Certain codes may be directly redeemable for specific courses while others can apply to all courses in general. These codes as well as any promotional value linked to them, may expire if not used within the period specified. Coupon codes may not be refunded for cash. If you have multiple coupon codes, Actionability may determine which one you can to apply to your purchase. In general, for one purchase you can apply one coupon code, unless otherwise stated by Actionability.

Website and resources published and shared in emails from Actionability. Actionability publishes own content (articles, videos, templates, training content) related to business performance management and coaching. All content published on the www.actionability.nl website as well as during the online and in-person training programs is for your own personal, non-commercial use and not for redistribution of any kind. Training content may only be used by one person within your organisation. Further use, copying or distribution is strictly prohibited.

Except as expressly authorised by Actionability, you agree not to sell, rent, lease, loan, assign, sublicense, distribute, or otherwise transfer, copy or reproduce, modify, publicly perform or display, broadcast, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorised use of such content other than as expressly authorised in a separate agreement between Actionability and you.

Actionability reserves the right to update the course contents from time to time to improve its course.

Consideration. Services are only available when you have paid the applicable fees or signed up for a free service.

Actionability reserves the right to limit its service in case:

  • The Client in question shares explicit or offensive content or does not behave in a civil manner towards Actionability personnel
  • The Client repeatedly makes demands that are unreasonable or clearly outside the scope of the service agreement.

In such cases, Actionability will issue a written statement explaining the reasoning behind the limitation.

Confidentiality. Actionability shall keep strictly confidential all non-public information from you it may collect in connection with your use of the services or content. Please refer to our Privacy Policy published on www.actionability.nl for further information.

No personal data. You shall not provide Actionability with any personal data (EU/GDPR) or personally identifiable information (USA) unless specifically authorised in writing beforehand. If you do, you shall fully indemnify Actionability for all costs and damages associated with its processing and removal, including administrative fines and costs of secure deletion.

Limitation of liability. Except in case of intentional misconduct or gross negligence, Actionability accepts no liability for any damages caused in connection with the services under this agreement. This includes but is not limited to damages in the form of failure to operate, lost revenue or missed profits.

Term. The agreement is entered into on the day your signed contract is received by Actionability and remains in force until the end of the contract period. For visitors of www.actionability.nl website, the agreement is in force from the day they visited the same website.

Law and venue. Any disputes in connection with this agreement are governed by Dutch law and must be brought before the courts of Amsterdam, the Netherlands.
